SpeedyDev Forums License Agreement

IMPORTANT - SpeedyDev Forums is licensed not sold. Please read the following agreement before installing SpeedyDev Forums. This agreement is between SpeedyDev Inc. ("the Licensor") and you.

1. General. The software and documentation accompanying this License (collectively the "SpeedyDev Forums Software") are licensed to you, not sold, by the Licensor, for use only under the terms of this License and the Licensor reserves all rights not expressly granted to you. These rights granted herein are limited to the Licensor's intellectual property rights in the SpeedyDev Forums Software and do not include any other patents or intellectual property rights. The rights granted by this License include any software upgrades that replace and/or supplement the original SpeedyDev Forums Software.
    
2. Permitted License Uses . This License allows you to install and use one copy of the SpeedyDev Forums Software installed on a single computer and using a single database. The SpeedyDev Forums Software is not intended to be used in any environment in which the failure of the SpeedyDev Forums Software may lead to death, personal injury, or severe physical or environmental damage.
    
3. Restrictions on Use. You agree that you will not (a) copy the SpeedyDev Forums Software for any purpose, with the exception that you may make one copy of the SpeedyDev Forums Software in machine-readable form for backup purposes only; provided that the backup copy must include all copyright or other proprietary notices contained on the original. (b) assign this License or transfer, lease, export or grant a sublicense of the SpeedyDev Forums Software or the license contained herein to any party unless authorized by the Licensor in writing; (c) network the SpeedyDev Forums Software or otherwise run it on more then one computer system at a time; (d) reverse engineer, decompile, disassemble or create derivative works from the source code, the SpeedyDev Forums Software; (e) use the SpeedyDev Forums Software except as authorized herein; and (g) permit third parties to use the SpeedyDev Forums Softwarein anyway that would constitute a breach of this Agreement.
     
4. Restrictions on Trial Version. You agree that you will not use the trial version for more than 30 days from the date that you recieved a trial license.
    
5. THE SPEEDYDEV FORUMS SOFTWARE IS PROVIDED “AS-IS” WITHOUT WARRANTY OR CONDITION OF ANY KIND, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABLE QUALITY AND FITNESS FOR A PARTICULAR PURPOSE. THE LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT ITS OPERATION WILL BE ERROR-FREE. IN NO EVENT SHALL THE LICENSOR BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, SPECIAL OR CONSEQUENTIAL DAMAGES EVEN IF ADVISED OF THE POSSIBILITY THEREOF.
    
6. Limitation on Liabilities. The Licensor’s entire liability and your exclusive remedy shall be termination of this License Agreement.
    
7. Termination. This Agreement is effective until terminated. You may terminate this Agreement at any time by destroying all copies of the SpeedyDev Forums Software. The Licensor may terminated this license without notice to you if you fail to comply with any of its terms. Any such termination by the Licensor shall be in addition to and without prejudice to such rights and remedies as may be available, including injunction and other equitable remedies. Upon receipt by you of written notice of termination from the Licensor or termination by you, shall immediately (a) cease using the SpeedyDev Forums Software; (b) destroy all copies in you possession of the SpeedyDev Forums Software; and (c) with in five (5) days thereafter Licensor with a written confirmation that you have compiled with the foregoing. The provisions of Sections 1, 3, 4, 6 and 7 shall survive the termination.
    
8. Emoticons. The SpeedyDev Forums Software contains the "Rubato Emoticon Set" created by Chromakode <Chromakode@gmail.com> and is used under the terms of the Creative Commons Attribution-ShareAlike license. The full terms of the Creative Commons Attribution-ShareAlike license can be viewed at http://creativecommons.org/licenses/by-sa/2.5/ or by sending a letter to Creative Commons, 559 Nathan Abbott Way, Stanford, California 94305, USA. The Licensor makes no intellectual property title claims to the "Rubato Emoticon Set" and their use is governed by the Creative Commons Attribution-ShareAlike license not by the terms of this License.
    
9. Miscellaneous. This entire agreement between you and the Licensor pertaining to your right to use the SpeedyDev Forums Software, and supercedes all prior and collateral oral or written representations or agreements related thereto. In the event that one or more of the provisions is found to be illegal or unenforceable, this Agreement shall not be rendered inoperative but the remaining provisions shall continue in full force and effect. This agreement shall be governed by the laws of the Province of Ontario, Canada.
